  1.   LICENSE AGREEMENT FOR YOU DON'T KNOW JACK THE NETSHOW

  4. IMPORTANT:  The You Don't Know Jack the netshow
  5. software and the related documentation on the You
  6. Don't Know Jack the netshow Website (collectively,
  7. "You Don't Know Jack the netshow") are protected by
  8. United States copyright and other applicable laws,
  9. and international treaty provisions. Your right to
  10. download, install and use You Don't Know Jack the
  11. netshow is limited by the terms and conditions of
  12. the scrollable License Agreement below, and is 
  13. expressly conditioned upon your reading, 
  14. understanding, and agreeing to the License Agreement
  15. below IN ITS ENTIRETY before downloading.  At the end
  16. of the License Agreement, you will be asked to accept
  17. or reject the license terms.  If you do not accept
  18. the terms of the License Agreement, you are not an 
  19. authorized user of You Don't Know Jack the netshow, 
  20. and it is your responsibility to remove You Don't 
  21. Know Jack the netshow from your system immediately.

  24.             LICENSE AGREEMENT
  25.  
  26. This License Agreement ("Agreement") for You Don't 
  27. Know Jack the  netshow software and the related 
  28. documentation on the You Don't Know Jack the netshow
  29. Website ("You Don't Know Jack the  netshow") is your 
  30. proof of your license to download, install and use 
  31. You Don't Know Jack the netshow.  An electronic copy 
  32. of this Agreement will also be provided to you upon 
  33. installation of You Don't Know Jack the netshow.
  34.  
  35. 1. GRANT AND TERM OF LICENSE.
  36.  
  37. Subject to your compliance with the terms of this 
  38. Agreement, Berkeley Systems Inc. ("Berkeley Systems")
  39. grants to you a personal, nonexclusive, 
  40. nontransferable and royalty-free license to download,
  41. install and use You Don't Know Jack the netshow 
  42. solely for your lawful personal use.  You Don't Know 
  43. Jack the netshow may be installed and used only on 
  44. (a) a computer controlled by you or (b) a network 
  45. server which allows only you and other persons who 
  46. have agreed to the terms and conditions of this 
  47. Agreement to access You Don't Know Jack the netshow. 
  48. This Agreement and the license granted hereunder may 
  49. be terminated by Berkeley Systems or Jellyvision at 
  50. any time, in their sole discretion.  Such termination
  51. shall be effective immediately upon posting of such 
  52. termination on the You Don't Know Jack the netshow 
  53. Website.  In addition, this Agreement and the license
  54. granted hereunder will terminate automatically if 
  55. (a) you fail to comply with the limitations described
  56. in this Agreement or (b) you give up your personal 
  57. use or control of the computer(s) or server(s) on 
  58. which You Don't Know Jack the netshow is downloaded 
  59. or installed.  Upon termination for any reason of 
  60. this Agreement and the license granted hereunder, you
  61. agree to immediately destroy all copies of You Don't 
  62. Know Jack the netshow downloaded to, or installed on 
  63. either a computer or a server, as well as all related
  64. materials in any form.

  66. 2. COPYRIGHTS.
  67.  
  68. All rights in the software and screen graphics of You 
  69. Don't Know Jack the netshow are owned by Berkeley 
  70. Systems and are protected by United States copyright 
  71. and other applicable laws, and international treaty 
  72. provisions.  All rights in the text and sound of You 
  73. Don't Know Jack the  netshow are owned by Jellyvision 
  74. and are protected by United States copyright and other 
  75. applicable laws, and international treaty provisions.  
  76. Therefore, you agree to treat You Don't Know Jack the 
  77. netshow like any other copyrighted material (e.g., a 
  78. book or musical recording).  You may not reproduce, 
  79. distribute copies of, display publicly, or create 
  80. derivative works based on You Don't Know Jack the 
  81. netshow.  You are not permitted to copy You Don't Know 
  82. Jack the netshow for backup or archival purposes.

  91. 3. OTHER RIGHTS.

  93. You may not modify, translate, reverse engineer, 
  94. decompile or disassemble You Don't Know Jack the  
  95. netshow, or remove any proprietary notices or labels 
  96.  
  97. COMMERCIAL USE, PUBLIC EXHIBITION, PUBLIC DISPLAY, 
  98. PUBLIC USE, PUBLIC PERFORMANCE, OR PUBLIC DEMONSTRATION 
  99. OF THE PROGRAM, OR ANY COMPONENT OR PORTION THEREOF, IS 
  100. STRICTLY PROHIBITED WITHOUT THE EXPRESS WRITTEN CONSENT 
  101. OF BERKELEY SYSTEMS, INC.

  103. 4. NO WARRANTIES OR LIABILITIES.
  104.  
  105. (a)PRODUCTS.
  106.  
  107.     You expressly acknowledge and agree that use 
  108.     of You Don't Know Jack the netshow is AT YOUR
  109.      OWN RISK and that You Don't Know Jack the 
  110.     netshow is provided "AS IS" without any 
  111.     warranties or conditions whatsoever.
  112.  
  113. (b)BERKELEY SYSTEMS AND IT'S AFFILIATES, AGENTS, 
  114. LICENSEES AND LICENSORS:
  115.  
  116.     (i)HEREBY DISCLAIM ALL EXPRESS AND IMPLIED
  117.      WARRANTIES AS TO THE ACCURACY, COMPLETENESS, 
  118.     NONINFRINGEMENT, MERCHANTABILITY OR FITNESS 
  119.     FOR PARTICULAR PURPOSE OF YOU DON'T KNOW JACK
  120.     THE NETSHOW, AS WELL AS ALL EXPRESS AND 
  121.     IMPLIED WARRANTIES THAT THE OPERATION OF YOU 
  122.     DON'T KNOW JACK THE NETSHOW WILL BE 
  123.     UNINTERRUPTED OR ERROR-FREE;
  124.  
  125.     (ii)SHALL IN NO EVENT BE LIABLE TO YOU OR ANY
  126.     ONE ELSE FOR ANY INACCURACY, ERROR OR 
  127.     OMISSION IN, OR LOSS, INJURY OR DAMAGE CAUSED
  128.     IN WHOLE OR IN     PART BY, OR FAILURES, DELAYS 
  129.     OR INTERRUPTIONS OF YOU DON'T KNOW JACK THE 
  130.     NETSHOW;
  131.  
  132.     (iii)SHALL IN NO EVENT BE LIABLE TO YOU OR
  133.      ANYONE ELSE FOR ANY CONSEQUENTIAL, INCIDENTAL
  134.     OR SPECIAL DAMAGES ARISING OUT OF, RESULTING 
  135.     FROM OR RELATING IN ANY MANNER TO THE USE OR         
  136.     INABILITY TO USE YOU DON'T KNOW JACK THE
  137.      NETSHOW.  SUCH DAMAGES INCLUDE, BUT ARE NOT
  138.      LIMITED TO, LOSS OF PROFIT, LOSS OF PROGRAMS 
  139.     OR DATA, AND DAMAGE TO YOUR EQUIPMENT
  140.

  142. (c)SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR 
  143. LIMITATION OF WARRANTIES OR INCIDENTAL OR 
  144. CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR 
  145. EXCLUSIONS MAY NOT APPLY TO YOU.

  147. 5. U.S. GOVERNMENT RIGHTS.
  148.  
  149. If you are licensing You Don't Know Jack the netshow 
  150. on behalf of any part of the United States Government, 
  151. the following provisions apply.  You Don't Know Jack
  152. the netshow is deemed to be "commercial software" and
  153. "commercial computer software documentation," 
  154. respectively, pursuant to DFAR Section 227.7202 and 
  155. FAR 12.212, as applicable.  Any use, modification, 
  156. reproduction, release, performance, display or 
  157. disclosure of You Don't Know Jack the netshow by the 
  158. U.S. Government or any of its agencies shall be 
  159. governed solely by the terms of this Agreement and 
  160. shall be prohibited except to the extent expressly 
  161. permitted by the terms of this Agreement.

  163. 6. CHANGED TERMS.
  164.  
  165. Berkeley Systems shall have the right at any time and
  166. in their sole discretion to change the terms of this 
  167. Agreement or require new terms and to change, impose 
  168. conditions on or discontinue any aspect or feature of
  169. You Don't Know Jack the netshow.  Such changes shall 
  170. be effective immediately upon posting of such terms 
  171. on the You Don't Know Jack the  netshow Website.  Any 
  172. use by you of You Don't Know Jack the  netshow after 
  173. such notice shall be deemed acceptance of such changes 
  174. by you.
  175.  
  176. 7. GENERAL.
  177.  
  178. This Agreement will governed by the laws of the State
  179. of California, without reference to conflict of laws 
  180. principles. This Agreement is the entire agreement 
  181. between Berkeley Systems, Jellyvision and you and 
  182. supersedes any other communications or advertising 
  183. with respect to You Don't Know Jack the netshow.  If 
  184. any provision of this Agreement is held unenforceable,
  185. that provision shall be enforced to the maximum 
  186. extent permissible so as to give effect the intent of
  187. the parties, and the remainder of this Agreement 
  188. shall continue in full force and effect.  Any item or
  189. service furnished by Berkeley Systems, Jellyvision or
  190. their affiliates, agents, licensees or licensors, in 
  191. furtherance of this Agreement, although not 
  192. specifically identified in it, shall nevertheless be 
  193. covered by this Agreement unless specifically covered
  194. by some other written or electronic agreement 
  195. accepted by you and an authorized representative of 
  196. both Berkeley Systems and Jellyvision.  You agree to 
  197. comply with all U.S., foreign and local laws and 
  198. regulations which apply to your use of You Don't Know
  199. Jack the netshow including, without limitation, 
  200. export control laws and regulations.
